Terms & conditions
Scope, fees, cancellation, ownership and liability — in plain English, with the parts that usually hide in fine print written out.
Last updated: 28 October 2026
These terms govern services provided by CELTYL TECH LLC, a Mississippi limited liability company ("we", "us"), to the client named on an engagement ("you"). By engaging us, you accept them.
1. Services and proposals
Services are described on our services page. Every engagement is delivered under a written proposal or statement of work (email is sufficient) that states the scope, the deliverables, the fee and the start date. Prices published on the website are starting points; the price in your proposal is the price.
Anything not listed in the proposal is out of scope. If new work is needed, we agree it in writing before it is done — we do not bill for surprises.
2. Fees and payment
- Recurring services are billed in advance on the first day of each monthly cycle.
- One-time projects are typically 50% at kickoff and 50% on delivery, unless the proposal says otherwise.
- Accepted payment: ACH transfer, check or major credit card.
- Invoices are due on receipt. Balances overdue by more than 15 days may pause active work until settled.
- Advertising spend and third-party subscriptions are paid by you directly to the platform and never pass through our invoices.
3. Term and cancellation
Recurring services are month-to-month. Either party may end them with written notice (email suffices), effective at the end of the current paid billing cycle. There is no exit fee, no notice period beyond that, and no auto-renewal penalty.
You may pause a recurring engagement once per calendar year for up to 60 days; billing resumes when work resumes.
4. Your responsibilities
You agree to provide timely access to the accounts and information required to do the work, to appoint one person who can approve deliverables, to keep ad accounts and payment methods in good standing, and to ensure that material you supply does not infringe anyone else's rights.
Where work depends on your input and the input does not arrive, timelines move. We will say so in writing when it happens rather than absorbing it silently and delivering late.
5. Third-party platforms
Work may involve Google Ads, Google Analytics, Search Console, ChatGPT, Gemini, Perplexity, QuickBooks, Xero and similar. Those platforms have their own terms, pricing and availability, and they change independently of us. We are not affiliated with or endorsed by them, and we are not responsible for their decisions, outages or policy changes.
6. Intellectual property
On payment, work product created specifically for you — content, campaigns, dashboards, automation documentation — becomes yours. Accounts, properties and data are set up in your name from the start.
Our pre-existing methodologies, templates, internal tooling and know-how remain ours. We may describe the engagement in general terms (for example in a portfolio) only with your written permission.
7. Confidentiality
We keep your non-public business information confidential and use it only to deliver the services. We will sign your NDA where one is required. This obligation survives the end of the engagement.
8. Results
We follow documented, industry-standard practice, but we do not guarantee specific rankings, traffic volumes, conversion rates, revenue or return on ad spend. Search engines, ad platforms and AI answer systems change independently of us. Any figures shown on this website, including dashboard examples, are illustrative unless they are attributed to a named client with that client's approval.
9. Limitation of liability
To the maximum extent permitted by Mississippi law, our total liability arising out of an engagement is limited to the fees paid for the three months preceding the claim. We are not liable for indirect or consequential loss, including lost profits or lost data, except where the law does not allow that exclusion.
10. Termination for cause
Either party may terminate immediately in writing if the other materially breaches these terms and does not cure the breach within 15 days of notice, or engages in unlawful conduct.
11. Governing law and disputes
These terms are governed by the laws of the State of Mississippi, USA. Before any formal action, both parties agree to attempt resolution in good faith by written notice and a 30-day discussion period. Venue for any dispute lies in the state or federal courts serving Bolivar County, Mississippi.
12. Entire agreement
Your proposal, these terms and the refund policy together form the whole agreement and replace any prior discussion. If they conflict, the proposal wins for scope and fees, and these terms win for everything else. If any clause is unenforceable, the rest stays in force.
